1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Trendspark Ltd. ("Company," "we," "our," or "us") governing your access to and use of the FeedScape platform ("Service," "Platform"). By accessing or using FeedScape, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

FeedScape is an AI-powered video creation platform that allows users to generate videos using their own API keys for OpenAI and ElevenLabs. The Service includes:

• AI script generation and editing tools
• Scene creation and visual guidance generation
• Voice and music generation integration
• Video composition and asset management
• File storage and download capabilities

We charge a monthly subscription fee of $9.99 for platform access. You pay OpenAI and ElevenLabs directly for their services using your own API keys.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to use FeedScape. By creating an account, you represent and warrant that you are of legal age and have the authority to enter into these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Notify us immediately of any unauthorized access or security breach
• Use a strong password and keep it secure

4. API Keys and Third-Party Services

4.1 Your API Keys

FeedScape operates on a "Bring Your Own Keys" (BYOK) model. You are responsible for:

• Obtaining and maintaining valid API keys from OpenAI and ElevenLabs
• Ensuring your API keys have sufficient credits and appropriate rate limits
• Paying all fees directly to OpenAI and ElevenLabs
• Monitoring your API usage and costs
• Keeping your API keys secure and confidential

4.2 Third-Party Services

Your use of OpenAI and ElevenLabs services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, performance, or policies of these third-party services. Any issues with API keys, billing, or service availability should be directed to the respective providers.

5. Subscription and Payment

5.1 Subscription Fee

FeedScape charges a monthly subscription fee of $9.99 USD for platform access. This fee covers:

• Access to all platform features
• Unlimited video projects
• File storage and management
• Customer support

The subscription fee does not include costs for OpenAI or ElevenLabs services, which you pay directly to those providers.

5.2 Payment Terms

Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method automatically each month. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

5.3 No Refund Policy

ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE.

By subscribing to FeedScape, you acknowledge and agree that subscription fees are non-refundable. This policy applies because:

• Our service consumes processing power, server resources, and infrastructure costs that we incur immediately upon providing access
• Video generation and storage operations require ongoing computational resources that we pay for in real-time
• We cannot recover costs associated with services already rendered

If you cancel your subscription, you will continue to have access to all features until the end of your current billing period. No partial refunds will be issued for unused portions of your subscription period.

This no-refund policy applies regardless of:

• Whether you have used the service or not
• Whether you are satisfied with the service
• Whether you experience technical issues (we will work to resolve issues, but refunds are not provided)
• Whether you cancel your subscription early in the billing period

The only exception to this policy is where a refund is required by applicable consumer protection laws in your jurisdiction. In such cases, we will comply with the minimum requirements of such laws.

5.4 Subscription Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@feedscape.co. Cancellation will take effect at the end of your current billing period. You will not be charged for subsequent billing periods after cancellation.

Important: Canceling your subscription does not entitle you to a refund of any fees already paid. You will retain access to the service until the end of the billing period for which you have already paid.

5.5 Trial Period

We may offer a trial period for new users. If a trial period is offered:

• The trial period will be clearly disclosed at the time of registration
• You will be automatically enrolled in a paid subscription at the end of the trial period unless you cancel before the trial expires
• You may cancel during the trial period without being charged
• Once a paid subscription begins, the no-refund policy applies

5.6 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method automatically for each renewal period. You may disable auto-renewal at any time by canceling your subscription.

5.7 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card details on our servers.

5.8 Failed Payments and Chargebacks

If a payment fails, we will attempt to process the payment again. If payment continues to fail, your subscription may be suspended or terminated. You are responsible for ensuring your payment method is valid and has sufficient funds.

Chargebacks and payment disputes initiated without first contacting us may result in immediate account suspension or termination. We encourage you to contact us at contact@feedscape.co to resolve any billing issues before initiating a chargeback.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Create content that is defamatory, obscene, hateful, or violates others' rights
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with others
• Use the Service to generate content that infringes on intellectual property rights

7. Content and Intellectual Property

7.1 Your Content

You retain all rights to content you create using FeedScape. You grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

7.2 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by Trendspark Ltd. and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service without our express written permission.

7.3 AI-Generated Content

Content generated using AI services (OpenAI, ElevenLabs) may be subject to their respective terms regarding ownership and usage rights. You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party terms.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from Service unavailability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRENDSPARK LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Trendspark Ltd., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or upload

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings.

11.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Service or other users.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account data and content, though some information may be retained as required by law or for legitimate business purposes.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration organization, except where prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Trendspark Ltd. is incorporated, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
